Introduction
These Terms & Conditions (“Agreement”) govern the professional relationship between Hilf Al LLC (“Company”, “we”, “us”) and the client (“you”, “Client”). This Agreement applies to all design, development, and digital services provided by Hilf Al LLC, unless otherwise agreed in writing.
By engaging our services, accessing our website, or entering into a project with us, you acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions.
Scope of Services
Hilf Al LLC provides design, development, and related professional services as outlined in the approved proposal, statement of work, or written agreement between the Company and the Client.
Any services, features, revisions, or deliverables not explicitly included in the agreed scope are considered out of scope and may require a separate agreement, revised timeline, or additional fees.
Client Responsibilities
To ensure a smooth collaboration and timely delivery, the Client agrees to:
- Provide clear and accurate project requirements, content, and assets in a timely manner
- Review, provide feedback on, and approve deliverables within the agreed timelines
- Appoint a single point of contact authorized to communicate and provide approvals on behalf of the Client
- Ensure that all materials, content, and assets provided do not infringe upon any third-party rights
Any delays resulting from late feedback, missing content, or incomplete information may impact project timelines, delivery schedules, and associated costs.
Payment Terms
All fees, payment schedules, and milestones will be outlined in the approved proposal, statement of work, or written agreement between Hilf Al LLC and the Client.
Unless otherwise agreed in writing:
- Projects typically require an advance payment before work begins
- Remaining balances are due according to the agreed milestone schedule
- Invoices must be paid within the timeframe specified on the invoice
All payments are non-refundable once work has commenced, as services involve time, expertise, and resource allocation.
Hilf Al LLC reserves the right to pause or suspend work if payments are delayed or overdue. Any delays caused by late payments may impact delivery timelines and final project schedules.
The Client is responsible for any applicable transaction fees, taxes, or charges imposed by payment processors or financial institutions.
Initial Deposit
An upfront, non-refundable deposit of [X%] of the total project fee is required before project commencement. Work will begin only after the deposit has been received and confirmed.
The deposit secures project scheduling, resource allocation, and initial planning, and is therefore non-refundable once the project has started.
Milestone Payments
For larger or multi-phase projects, the total project fee may be divided into milestone payments as outlined in the approved proposal or statement of work.
Each milestone payment becomes due upon delivery of the corresponding project phase. Approval will be deemed granted if no written feedback or revision request is received within the agreed review period.
Hilf Al LLC reserves the right to pause work on subsequent phases until the applicable milestone payment has been received.
Final Payment
The remaining project balance is due upon final delivery and prior to the release of source files, final assets, or full project handover.
Hilf Al LLC retains ownership of all working files, source files, and deliverables until full payment has been received. Once the final payment is completed, ownership will be transferred in accordance with the Intellectual Property terms outlined in this Agreement.
Late Payments
Payments not received by the due date may be subject to a late fee of [X%] per month, calculated from the original due date until payment is received in full.
Hilf Al LLC reserves the right to pause or suspend work on any project if payments are overdue. Any delays resulting from late payments may impact project timelines, delivery schedules, and final completion dates.
Refunds
All payments made to Hilf Al LLC are non-refundable once work has commenced, as services involve the allocation of time, expertise, and resources.
Refunds will only be issued where explicitly agreed in writing by both parties. Any approved refund will be limited to the unused portion of services and will not include completed work, delivered assets, or time already spent on the project.
Project Timeline & Revisions
Project timelines are estimates and depend on timely Client feedback. Each project includes [X] revision rounds per deliverable. Additional revisions may be billed separately.
Ownership & Copyright
All project timelines provided by Hilf Al LLC are estimates and are dependent on timely Client feedback, approvals, and the delivery of required content and assets.
Each project includes [X] revision rounds per deliverable, as specified in the approved proposal or statement of work. Revisions are defined as reasonable modifications to existing designs or deliverables and do not include new concepts, features, or scope additions.
Any revisions requested beyond the included rounds, or requests that fall outside the agreed scope, may be subject to additional fees and revised timelines.
Confidentiality
Both parties agree to keep all non-public, confidential, or proprietary information exchanged during the course of the project confidential and not disclose such information to any third party without prior written consent, except where disclosure is required by law.
This obligation applies to, but is not limited to, business information, technical data, designs, strategies, processes, and any materials marked or reasonably understood to be confidential. This confidentiality obligation survives the completion or termination of the project.
Termination
Either party may terminate this Agreement by providing written notice to the other party.
In the event of termination, the Client agrees to pay for all work completed and expenses incurred up to the effective termination date. Any outstanding invoices become immediately due and payable.
All deposits and payments made prior to termination remain non-refundable, as they cover time, resources, and work already performed.
Limitation of Liability
To the maximum extent permitted by law, Hilf Al LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to the services provided under this Agreement.
In no event shall the total liability of Hilf Al LLC exceed the total fees paid by the Client for the specific services giving rise to the claim.
Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.
Acceptance
By engaging the services of Hilf Al LLC, submitting any payment, signing or approving a proposal, or otherwise authorizing the commencement of work, you acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions.
